Provider: „Raboti“ DPK (Работи ДПК), ul. Yordan Badev 8B, et. 1, ap. 17, 1700 Sofia, Bulgaria ("Provider").
1. Scope
These terms apply to all contracts for the AI phone assistant "Stemvo" and related services ("Service"). The Service is for businesses and organisations acting in a trade, business or profession only; we do not contract with consumers. By registering, the customer confirms it acts as a business. The customer's own terms do not apply.
2. Contract
Information on the website is not a binding offer. Registration is the customer's offer; the contract starts when the account is activated or confirmed by email.
3. The Service
The Provider supplies an AI phone assistant as an online service: answering calls on forwarded or provided numbers, answering questions from the customer's information, taking down requests, booking into connected calendars and sending summaries. Target availability is [availability, e.g. 99.5 %] per month, excluding announced maintenance and outages outside the Provider's control. The Service is not an emergency service and does not replace emergency numbers or professional advice.
4. Customer obligations
The customer uses the Service lawfully. In particular, it keeps its information accurate, informs callers under Art. 13 GDPR, records calls only with prior notice and a legal basis, and makes outbound calls only where the applicable telemarketing rules allow. The notice at the start of each call that the caller is talking to AI (Art. 50(1) EU AI Act) cannot be switched off; its wording can be adjusted. The customer keeps login details secret and does not use the Service for unlawful, deceptive or harassing purposes or practices prohibited by Art. 5 EU AI Act.
5. AI
Answers are generated by AI models and may occasionally be incomplete or wrong. The customer decides which tasks the assistant performs and reviews summaries and bookings to a reasonable extent. The customer is the deployer of the AI system under the EU AI Act.
6. Prices and payment
Fees follow call duration at the published price per minute (currently €0.15) plus VAT, billed [unit, e.g. per second]. Phone numbers at cost. Monthly invoicing in arrears, payable within 14 days. Price changes are announced at least six weeks ahead; the customer may terminate as of the effective date.
7. Term and termination
The contract runs for an indefinite period. Either party may terminate with one month's notice to the end of a calendar month. Termination for cause remains possible.
8. Switching and data (EU Data Act)
The customer may switch to another provider or its own infrastructure at any time (Art. 23 ff. Regulation (EU) 2023/2854). The notice period for switching is at most two months. During a 30-day transition period the Provider assists and provides exportable data in a structured, commonly used and machine-readable format. The Provider charges no switching fees. Data is then deleted unless retention is required by law.
9. Data protection and confidentiality
For processing personal data on the customer's behalf, the parties conclude a data processing agreement (Art. 28 GDPR). Each party keeps the other's confidential information confidential. For professionals bound by secrecy, such as doctors and lawyers, the Provider signs an additional confidentiality undertaking on request.
10. Liability
The Provider is liable without limitation for intent, gross negligence, injury to life, body or health and under mandatory product liability law. For slight negligence, the Provider is liable only for breach of essential contractual obligations, limited to foreseeable damage typical for the contract and to [cap, e.g. the fees of the last twelve months] per incident. Liability for data loss is limited to the cost of restoring data from a reasonable backup. The customer indemnifies the Provider against third-party claims arising from unlawful use of the Service.
11. Changes
The Provider may change these terms with at least six weeks' notice. If the customer objects, either party may terminate as of the effective date.
12. Law and jurisdiction
[Governing law] applies, excluding the UN Convention on Contracts for the International Sale of Goods. Courts of [place] have jurisdiction, where legally permitted.
